These Terms of Service (“Terms”) govern access to and use of the websites, software, call-answering, notification, escalation, and related services provided by JLM Technology Inc., operating as OnSite AI (“OnSite AI,” “we,” “us,” or “our”).

By creating an account, purchasing or subscribing to the Services, clicking to accept these Terms, or using the Services, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.

If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. Acceptance of Terms


Your use of OnSite AI is subject to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

Additional written agreements, order forms, implementation documents, promotional terms, or service-specific terms may apply to certain customers. If there is a direct conflict between these Terms and a separately signed written agreement with OnSite AI, the signed written agreement will control to the extent of that conflict.

2. About OnSite AI


OnSite AI provides AI-assisted call answering, information gathering, call classification, notification, and escalation tools primarily for emergency and field-service businesses.

The platform may assist businesses with receiving calls, collecting caller information, identifying potentially urgent service requests, creating call records or summaries, and notifying designated personnel according to customer-configured workflows.

OnSite AI is a technology provider. We are not the contractor, property manager, technician, emergency responder, insurer, adjuster, medical provider, or other professional ultimately responsible for responding to a caller’s situation.

3. Eligibility and Business Use


The Services are intended primarily for lawful business and commercial use.

You are responsible for ensuring that you have authority to enter into these Terms and use the Services for your organization.

You may not use the Services in violation of applicable law or in a manner that infringes the rights of another person or organization.

4. Account Registration and Customer Responsibilities


Customers are responsible for:

  • Providing accurate account and business information;

  • Maintaining the confidentiality and security of account credentials;

  • Restricting account access to authorized users;

  • Maintaining accurate contact, location, routing, escalation, and on-call information;

  • Promptly updating information when staffing, telephone numbers, schedules, locations, or escalation procedures change;

  • Reviewing their configured call-handling workflows for accuracy;

  • Training appropriate personnel concerning the use of the Services; and

  • Complying with laws applicable to their business and use of the Services.

Customers are responsible for activity occurring through their accounts except to the extent directly caused by OnSite AI’s unauthorized actions.

5. Description of Services

Depending on the customer’s plan and configuration, OnSite AI may provide features including: AI-powered call answering; Caller information collection; Call transcription and summarization; Identification of call context and potential urgency; Customer-configured escalation workflows; Technician or designated-person notification; SMS and email alerts; Call records and tracking; Support for one or more configured locations or telephone numbers; and Related administrative or support functionality. Available features may vary by plan, configuration, location, technical availability, and service evolution.

6. AI and Automated Call Handling

The Services use artificial intelligence and automated technologies. AI systems are probabilistic and may occasionally misunderstand callers, produce inaccurate transcripts or summaries, misinterpret information, fail to recognize context, or classify urgency incorrectly. Customers acknowledge that automated systems are not error-free and agree not to rely on OnSite AI as the sole safeguard for life, health, safety, property protection, regulatory compliance, or other high-risk functions. Customers remain responsible for determining whether their call-handling procedures, staffing, escalation rules, and business practices are appropriate for their operations.

7. Emergency Services and 911 Disclaimer

OnSite AI is not an emergency service and is not a replacement for 911, fire, police, ambulance, medical services, gas emergency services, or other public emergency-response organizations. Life-safety emergencies should be directed to the appropriate emergency service. Customers must not configure or represent OnSite AI as a substitute for public emergency services. OnSite AI does not guarantee that its technology will identify every emergency, accurately determine the severity of every situation, or successfully communicate with an emergency responder.

8. Call Escalation and Technician Response

OnSite AI may attempt to notify or escalate calls to personnel designated by the customer. OnSite AI does not employ or control the customer’s technicians, employees, contractors, property managers, service providers, or other designated recipients. Accordingly, OnSite AI does not guarantee: That a designated person will answer a call or notification; That a technician or employee will acknowledge a notification; That a customer will dispatch personnel; Any particular response or arrival time; That the customer has sufficient personnel available; or The quality, timeliness, or outcome of services ultimately provided by the customer. The customer is responsible for maintaining appropriate staffing, on-call coverage, backup procedures, and escalation information.

9. Call Recording and Consent

The Services may support call recording, transcription, summarization, and analysis. Customers are responsible for ensuring that their use of these features complies with applicable recording, privacy, consent, employment, telecommunications, and other laws. Where recording or transcription is enabled, appropriate notice should be provided to callers as required by applicable law. Customers must not configure or use recording functionality unlawfully. 10. Customer Configuration and On-Call Information

The operation of OnSite AI may depend substantially on information and instructions supplied by the customer. Customers are responsible for ensuring that configured: Telephone numbers; Email addresses; Employee and technician contact information; On-call schedules; Locations; Escalation sequences; Business hours; Call-handling instructions; and Other workflow information are complete, accurate, current, and authorized. OnSite AI is not responsible for failures or delays caused by inaccurate, outdated, incomplete, or unauthorized customer-supplied information.

11. Telecommunications and Third-Party Services

OnSite AI relies on third-party services and infrastructure, which may include telecommunications carriers, telephone networks, internet service providers, cloud providers, AI providers, SMS and email providers, payment processors, hosting providers, and other technology vendors. Portions of the Services may therefore be affected by circumstances outside OnSite AI’s reasonable control. These may include: Telecommunications outages; Carrier failures; Internet outages; Cloud-service interruptions; SMS or email delivery failures or delays; Third-party API failures; Power failures; Cybersecurity incidents; Network congestion; and Other technical or external events. OnSite AI does not guarantee the uninterrupted availability or performance of third-party systems.

12. Service Availability and Modifications

We seek to provide reliable Services but do not guarantee that the Services will be uninterrupted, error-free, or available at all times. We may maintain, update, modify, improve, replace, suspend, or discontinue portions of the Services from time to time. Where reasonably practicable, we will seek to minimize material disruption to customers. Nothing in these Terms constitutes a guaranteed service-level agreement unless a separate written service-level agreement has been expressly entered into between the customer and OnSite AI.

13. Fees, Billing, Included Minutes and Overage

Customers agree to pay the fees associated with the plan or order selected at the time of purchase. Unless otherwise stated at checkout or in a separate written agreement: Subscription fees are billed on a recurring basis; Applicable taxes may be added as required by law; Included usage is determined by the customer’s selected plan; Usage beyond included minutes may incur additional usage charges at the rate disclosed for that plan; and Customers authorize the applicable payment provider to process recurring subscription and usage charges. The currently advertised standard monthly plans are: Essentials — $129/month — 150 included minutes — 1 location / phone number; Professional — $299/month — 500 included minutes — 1 location / phone number; Growth — $499/month — 1,500 included minutes — up to 3 locations / phone numbers. Additional usage is currently advertised at $0.99 per minute. Prices and plans may change prospectively. Any change applicable to an existing subscription will be communicated or implemented in accordance with applicable contractual and legal requirements. Taxes imposed by governmental authorities may be charged in addition to advertised prices where applicable.

14. Free Trials and Promotions

OnSite AI may offer free trials, promotional pricing, founders’ offers, discounts, referral programs, or other promotions from time to time. The specific duration, eligibility requirements, pricing, conversion terms, limitations, and other conditions of a promotion will be those disclosed when the offer is presented. Promotional offers may be limited to eligible customers and may not be combined unless expressly stated. OnSite AI will not apply a promotional commitment that was not actually offered or agreed to.

15. Acceptable Use

Customers and users must not: Use the Services for unlawful, fraudulent, abusive, deceptive, or harmful purposes; Attempt to gain unauthorized access to systems, accounts, data, or infrastructure; Interfere with or disrupt the Services; Introduce malware or malicious code; Use the Services to harass, threaten, impersonate, or unlawfully monitor another person; Use call recording or communications functionality in violation of applicable law; Reverse engineer or attempt to extract protected source code except where such restriction is prohibited by law; Resell or sublicense the Services without authorization; or Use the Services in a manner reasonably likely to create material security, legal, operational, or reputational risk. We may suspend access where reasonably necessary to address suspected misuse, security risks, legal requirements, or material violations of these Terms.

16. Data and Privacy



Our handling of personal information is described in the OnSite AI Privacy Policy available at /privacy-policy.

Customers acknowledge that their own businesses may independently have privacy, consent, data-protection, record-keeping, and disclosure obligations concerning information processed through OnSite AI.

Each party is responsible for complying with the privacy and data-protection obligations applicable to it.

17. Intellectual Property

OnSite AI and its licensors retain all rights, title, and interest in and to the Services, including software, technology, workflows, interfaces, designs, trademarks, branding, documentation, and related intellectual property, except for customer-owned content and data. Subject to these Terms and payment of applicable fees, OnSite AI grants customers a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their authorized internal business purposes during their active subscription. No ownership rights in OnSite AI technology are transferred to customers.

18. Confidentiality

Each party may receive confidential or non-public business, technical, operational, or commercial information from the other. Each party agrees to use reasonable measures to protect such information and to use it only as reasonably necessary for the relationship, except where disclosure is authorized, required by law, or the information is already lawfully public or independently known.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ONSITE AI DISCLAIMS WARRANTIES, REPRESENTATIONS, AND CONDITIONS THAT ARE NOT EXPRESSLY PROVIDED IN THESE TERMS OR A SEPARATE WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION, TO THE EXTENT SUCH WARRANTIES OR CONDITIONS MAY LAWFULLY BE DISCLAIMED. ONSITE AI DOES NOT WARRANT THAT: EVERY CALL WILL BE ANSWERED, COMPLETED, RECORDED, TRANSCRIBED, OR CLASSIFIED CORRECTLY; EVERY EMERGENCY OR URGENT CONDITION WILL BE IDENTIFIED; EVERY NOTIFICATION WILL BE DELIVERED OR RECEIVED; EVERY DESIGNATED RECIPIENT WILL RESPOND; THE SERVICES WILL ALWAYS BE AVAILABLE OR UNINTERRUPTED; OR USE OF THE SERVICES WILL PREVENT PROPERTY DAMAGE, BUSINESS INTERRUPTION, FINANCIAL LOSS, PERSONAL INJURY, OR OTHER HARM. Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONSITE AI AND JLM TECHNOLOGY INC., AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF ONSITE AI AND JLM TECHNOLOGY INC. ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY THE CUSTOMER TO ONSITE AI FOR THE SERVICES DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. The limitations in this section apply to the extent permitted by applicable law and do not exclude liability that cannot legally be excluded or limited.

21. Indemnification

To the extent permitted by applicable law, the customer agrees to defend, indemnify, and hold harmless JLM Technology Inc., OnSite AI, and their directors, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from or relating to: The customer’s unlawful use of the Services; The customer’s violation of these Terms; Inaccurate or unauthorized information, instructions, routing details, or configurations supplied by the customer; The customer’s services, technicians, employees, contractors, or response activities; The customer’s failure to comply with applicable recording, privacy, consent, telecommunications, or other legal requirements; or The customer’s infringement or violation of another person’s rights. This section does not require the customer to indemnify OnSite AI for claims to the extent caused by OnSite AI’s own fraud, wilful misconduct, or liability that cannot lawfully be shifted.

22. Suspension and Termination

Customers may discontinue use of the Services subject to the billing, subscription, promotional, or other terms applicable to their account. OnSite AI may suspend or terminate access where reasonably necessary because of: Non-payment; Material breach of these Terms; Unlawful or abusive use; Security threats; Risk to other customers or systems; Legal or regulatory requirements; or Discontinuation of the applicable Services. Where reasonably appropriate, we may provide notice and an opportunity to address a remediable issue before termination. Termination does not eliminate payment obligations or other obligations that accrued before termination.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to rights or procedures that cannot lawfully be waived, the parties agree that disputes arising from these Terms or the Services will be brought before the courts located in Ontario, Canada. Nothing in these Terms prevents the parties from attempting to resolve a dispute through good-faith negotiation or mutually agreed mediation before commencing formal proceedings.

24. Changes to These Terms

We may update these Terms to reflect changes to the Services, business practices, technology, legal requirements, or other legitimate operational needs. If a change materially affects existing customers’ rights or obligations, we will provide notice as required by applicable law or agreement. The current version of the Terms will be posted on the OnSite AI website with its effective date. Continued use after legally effective changes may constitute acceptance where permitted by applicable law.

25. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. Failure to enforce a provision is not a waiver of that provision or any other right. Customers may not assign these Terms without OnSite AI’s prior written consent, except as permitted by applicable law. OnSite AI may assign these Terms in connection with a corporate reorganization, financing, merger, acquisition, or sale of all or substantially all relevant assets, subject to applicable law. These Terms, together with the Privacy Policy and any applicable signed agreements or order documents, constitute the agreement concerning the subject matter addressed herein.
